Power Values Affiliate Program Agreement

Effective Immediately

This Affiliate Program Agreement (“Agreement”) is entered into between Visioneer LLC, operating as Power Values (“Company”), and the applicant (“Affiliate”), collectively referred to as the “Parties.” By applying for, being accepted into, and participating in the Power Values Affiliate Program (the “Program”), Affiliate agrees to be bound by the terms and conditions outlined in this Agreement.


1. Program Overview

The Program allows Affiliates to promote Power Values products and services, including but not limited to: books, quizzes, memberships, training series, group coaching, retreats, and private coaching. Affiliates earn commissions for verified sales generated through their unique affiliate links.

2. Eligibility

2.1 Age Requirement: Affiliates must be at least 18 years of age.

2.2 Legal Compliance: Affiliates must comply with all applicable laws, rules, and regulations, including consumer protection, advertising, data privacy (GDPR/CCPA), tax reporting, and intellectual property.


2.3 Acceptance:
The Company reserves the right to approve or reject any Affiliate application at its sole discretion.


2.4 Termination of Eligibility:
Affiliates may be disqualified for any conduct deemed fraudulent, misleading, unethical, or damaging to the Company’s reputation.

3. Commission Structure

3.1 Commission Rate: Affiliates earn a 30% commission on eligible sales tracked through the Company’s affiliate platform.

3.2 Cookie Duration: The Program operates with a 60-day cookie policy. Only sales made within this tracking window will be credited to the Affiliate.

3.3 Scope of Commissions: Commissions apply to:

Memberships ($27, $47, $97 per month)

Group Coaching Programs ($5,000/person)

Private Coaching ($10,000/person)

3.4 Payment Plans:

For high-ticket offers purchased on a payment plan, commissions are calculated only on payments actually received during the cookie duration.

Affiliates do not earn commission on the full contract value unless all payments fall within the 60-day cookie period.


Example:
If a client signs up for Group Coaching ($5,000) on a 10-month plan, and only 2 payments are made during the cookie window, Affiliate commission is 30% of those 2 payments only.

3.5 Exclusions: Taxes, shipping, discounts, refunds, chargebacks, and fraudulent transactions are excluded from commissions.

3.6 Payout Threshold: Minimum payout is $250.

3.7 Payment Methods: Payments are made via PayPal, direct deposit, or wire transfer. Affiliates are responsible for providing accurate payment details.

3.8 Payment Timing: Payments are processed within 30 days after the close of the calendar month in which commissions are earned.

3.9 Adjustments: The Company reserves the right to deduct or withhold commissions for refunds, chargebacks, fraudulent sales, or errors.

4. Resources Provided

The Company may provide Affiliates with:

Unique affiliate tracking links.

Swipe copy for email and social campaigns.

Banners, graphics, and promotional videos.

Access to an affiliate resource center with strategies and training.

All materials remain the intellectual property of the Company.

5. Affiliate Obligations

Affiliates agree to:
5.1 Promote Power Values in a professional, ethical, and lawful manner.
5.2 Clearly disclose affiliate relationships in compliance with FTC guidelines.
5.3 Use only approved marketing materials or obtain written approval for custom content.
5.4 Avoid exaggerated income promises or misrepresentation.
5.5 Maintain brand-aligned messaging that emphasizes clarity, transformation, and education (see Section 12).

6. Prohibited Activities

Affiliates may not engage in:
6.1 Spam: Sending unsolicited messages or mass emails.
6.2 Cookie Stuffing: Artificially inflating tracking data.
6.3 Misrepresentation: Making false or misleading claims about Company products.
6.4 Inappropriate Channels: Promotion on websites or platforms with offensive, illegal, or adult content.
6.5 Unauthorized Endorsements: Implying endorsement by Tony Robbins, Cloe Madanes, Jonathan Keim, or other trainers without written authorization.
6.6 Trademark Violations: Using Company trademarks, brand names, or logos without consent.
6.7 Negative Comparisons: Disparaging competitors or making false comparisons.
6.8 Resale or Redistribution: Affiliates may not resell, white-label, or redistribute Company products.

7. PPC Advertising Policy

7.1 Prohibited Keywords: Affiliates may not bid on “Power Values,” “Visioneer,” “Jonathan Keim,” or variations/misspellings.
7.2 Negative Keywords: Must exclude: cheap, discount, scam, fraud, fake, pyramid scheme, MLM, review, comparison, trial, jobs, employment, internship.
7.3 Direct Linking: Affiliates may not link PPC ads directly to Company domains. Traffic must route through Affiliate-owned properties.
7.4 Brand Use in Ads: Company trademarks, names, or brand references may not appear in ad copy, titles, or display URLs.
7.5 Monitoring: The Company reserves the right to audit campaigns. Violations may result in immediate termination and forfeiture of commissions.

8. Intellectual Property

8.1 All trademarks, copyrights, course content, and proprietary materials are the sole property of the Company.
8.2 Affiliates are granted a limited, non-exclusive, revocable license to use approved promotional materials.
8.3 Affiliates may not alter, reverse-engineer, or create derivative works of Company content.

9. Confidentiality

All Program details, including commission rates, funnels, and training materials, are confidential. Affiliates may not disclose such information to third parties without written consent.

10. Data Protection & Privacy

10.1 Affiliates must comply with GDPR, CCPA, and other applicable data privacy laws.
10.2 Consent must be obtained for tracking cookies or data collection.
10.3 Affiliates may not share, resell, or misuse customer data collected via Company resources.

11. Taxes

Affiliates are solely responsible for their own taxes.

U.S. affiliates must submit IRS Form W-9.

1099 forms will be issued for U.S. affiliates earning over $600 annually.

Non-U.S. affiliates must provide equivalent tax documentation as requested.

12. Brand-Aligned Messaging

12.1 Affiliates must use language consistent with Power Values’ ethos of education and transformation.

Do use: clarity, transformation, values, coaching, growth, curriculum, training, alignment.

Avoid: buy, purchase, discount, cheap, deal, sale.

12.2 Prohibited marketing practices include:

Fear-based or manipulative tactics.

Overpromising outcomes (e.g., “guaranteed six-figure coaching business”).

Misuse of names or likenesses of Tony Robbins, Cloe Madanes, or Jonathan Keim without approval.

13. Term & Termination

13.1 This Agreement begins upon acceptance into the Program and continues until terminated.
13.2 The Company may terminate an Affiliate at any time, with or without cause.
13.3 Upon termination, Affiliate must immediately remove all Company links and promotional materials.
13.4 Unpaid commissions may be forfeited in cases of fraud, breach, or policy violation.

14. Liability & Indemnification

14.1 Limitation of Liability: The Company is not liable for indirect, incidental, or consequential damages.
14.2 Indemnification: Affiliates agree to indemnify and hold harmless the Company, its officers, employees, and agents against claims arising from Affiliate activities.

15. Force Majeure

Neither Party shall be liable for delays or failures caused by events beyond their reasonable control, including natural disasters, pandemics, government actions, or internet outages.

16. Governing Law & Dispute Resolution

16.1 This Agreement is governed by the laws of the State of New Mexico, USA.
16.2 Disputes shall be resolved by binding arbitration in Albuquerque, New Mexico, in accordance with the rules of the American Arbitration Association.
16.3 Each Party bears its own legal fees unless otherwise decided by the arbitrator.

17. Assignment

Affiliates may not transfer or assign rights under this Agreement without written consent from the Company.

18. Audit Rights

The Company reserves the right to audit Affiliate promotional activities, PPC campaigns, and compliance practices. Affiliates must cooperate fully with audit requests.

19. Modifications

The Company may update or amend this Agreement at any time. Affiliates will be notified of material changes. Continued participation constitutes acceptance of updated terms.

20. Entire Agreement

This Agreement represents the entire understanding between the Parties and supersedes all prior agreements, oral or written.

Acknowledgment

By applying for and participating in the Power Values Affiliate Program, Affiliate acknowledges having read, understood, and agreed to this Agreement.
